1. Introduction & Scope

These Terms of Service ("Terms") govern your access to and use of our applications ("Apps")

  • "Cali"
  • "WoHiT"
  • "Lottie Tester"

and our websites (indie-software.com including all sub-domains, and the product websites of our Apps), and any related services (collectively, the "Services") provided by indie-Software (Sven Korset, see Section 3).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1.1 Relationship to Apple's License Agreement

Our Apps are distributed exclusively through Apple's App Store. Your license to use the Apps is governed by Apple's standard Licensed Application End User License Agreement ("Apple EULA"), which these Terms supplement. In the event of a conflict between these Terms and the Apple EULA, the Apple EULA prevails with respect to the license and Apple's rights and obligations.

You acknowledge that these Terms are concluded between you and us only, and not with Apple. Apple is not responsible for the Apps or their content, has no obligation to provide maintenance or support for them, and is not responsible for addressing any claims by you or any third party relating to the Apps (including product liability claims, claims that an App fails to conform to legal or regulatory requirements, consumer protection claims, or intellectual property infringement claims). Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. The Apple EULA also contains the usage rules, legal compliance and export provisions that apply to all apps obtained from the App Store; we do not repeat them here.

1.2 Language

These Terms are provided in English only. Where our websites or Apps are available in other languages, the English version of these Terms remains the binding one.

2. Age Requirement

Our Services are rated for a general audience in the App Store. While suitable for most users, including younger audiences under parental supervision, they are not specifically directed at children. If you are under 13 years old (or under the age of digital consent applicable in your country), please use our Services only with the involvement and consent of a parent or guardian, and do not send us any personal data without their consent. In-App Purchases by minors require the consent of a parent or guardian; parents can control purchases with Apple's Family Sharing and "Ask to Buy" features. By accessing or using our Services, you represent that you have the necessary consent or authority to do so.

3.3 Note

"indie-Software" is the brand name under which Sven Korset operates as a sole proprietor (Einzelunternehmen). It is not a separate legal entity (such as a GmbH/LLC or AG/Inc.).

4. General Terms and Conditions

4.1 License Grant and Usage Rights

Subject to your compliance with these Terms and the Apple EULA, we grant you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use our Apps for your personal, non-commercial purposes on Apple-branded devices that you own or control, as permitted by the App Store usage rules. You may not rent, lease, lend, sell, redistribute, or sublicense the Apps.

4.2 Use of Apple Services & Accounts

Certain features of our Apps (such as iCloud sync) require you to be signed into your personal Apple ID account. Your use of Apple's services, including iCloud and the App Store, is governed by Apple's own Terms and Conditions and Privacy Policy. We are not responsible for the operation, security, or availability of these Apple services. Our Services themselves do not require any account with us, and we do not offer user accounts.

4.3 App Features and Access Models

Our Apps use different access and monetization models (free, paid after a trial period, freemium). The applicable model for each App and the details of In-App Purchases and subscriptions are described in Section 5.

4.4 User Content and Acceptable Use

You are solely responsible for any content you create, input, or sync using our Services or Apple's services (e.g., tasks, workouts, calendar events). Such content stays on your device or in your personal iCloud account; we have no access to it and do not review it. You agree not to use the Services to transmit any content that is unlawful, offensive, or infringes on third-party rights.

You agree not to misuse the Services, in particular not to (a) reverse engineer, decompile, or attempt to extract the source code of the Apps, except to the extent permitted by mandatory law; (b) circumvent or manipulate purchase or Premium Feature checks; (c) use automated means to access or scrape our websites in a way that impairs their operation; or (d) use the Services in violation of applicable law.

4.5 External Links

Our Services may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. You access them at your own risk.

4.6 Maintenance and Support

We, not Apple, are responsible for providing any maintenance and support for the Apps. Support is provided by email (see Section 3.2) on a reasonable-effort basis; we do not guarantee response times for support requests. Requests concerning your data protection rights are answered within the statutory period stated in our Privacy Policy. There is no entitlement to specific updates or new features (see also Section 5.5).

4.7 Disclaimer of Warranties & Limitation of Liability

No Warranty: To the extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.

Statutory Warranty Rights: These disclaimers do not affect your statutory warranty rights under applicable mandatory consumer protection law, such as the warranty for defects under the Swiss Code of Obligations (OR) or the rules on digital content and digital services in the EU (Directive (EU) 2019/770 as implemented in your country). In the event of a failure of an App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you in accordance with its policies; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the Apps.

Limitation of Liability: To the fullest extent permitted by applicable law, and subject to the exceptions below, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Services.

Exceptions to Liability Limitation: Nothing in these Terms shall limit or exclude our liability (i) for damage caused by our willful misconduct or gross negligence (Art. 100 para. 1 OR), (ii) for death or personal injury caused by our negligence, (iii) for fraud or fraudulent misrepresentation, (iv) under mandatory product liability law, or (v) in any other case where liability may not be limited or excluded under applicable mandatory law.

Your Data and Backups: Cali works directly on the calendar and reminder data of your iOS device, which is shared with Apple's own apps and any other apps you have granted access to, and which is synced by Apple's services. Data stored by our Apps in iCloud is likewise managed by Apple's services. We cannot rule out data loss or corruption caused by software errors (including our own), by other apps with access to the same data, by sync services, or by device failure. You are responsible for keeping backups of your device and data (e.g., via iCloud Backup or Finder/iTunes). To the extent permitted by law, and subject to the exceptions below, we are not liable for loss of data caused by third-party apps, sync services, or the failure to keep backups.

Apps are Tools, Not Professional Advice: The Apps are designed for personal productivity and fitness tracking. They do not constitute medical, legal, or financial advice. In particular, WoHiT provides workout timing and guidance only; you are responsible for exercising within your own abilities and, if in doubt, consulting a physician before starting a training program.

4.8 Service Discontinuation

We reserve the right to discontinue, suspend, or modify any part of our Services (including any App or website) at any time, in particular to cease development, updates, or support for any of our Apps. Where reasonably possible, we will announce the discontinuation of an App in advance in the App or on our website. Content you created remains on your device and in your iCloud account and is not affected by a discontinuation. Any statutory rights you may have with respect to a running subscription period remain unaffected.

4.9 Termination

You may terminate these Terms at any time by deleting the Apps and ceasing to use the Services; any active subscription must be cancelled separately in your Apple ID settings (see Section 5.4). We may terminate this agreement and your right to use our Services if you materially breach these Terms. Sections 4.7, 6, and 8 survive termination.

5. In-App Purchases, Subscriptions & Access Models

5.1 App-Specific Access Models

Our Apps employ different access and monetization models:

  • "Lottie Tester" - Completely Free: All features are accessible without any purchase requirements or restrictions.
  • "Cali" - Paid App with Trial Period: Cali can be tried free of charge for a limited trial period. After the trial, continued use of the App requires an In-App Purchase (one-time purchase or subscription, as offered in the App).
  • "WoHiT" - Freemium with Premium Features: Basic functionality is freely accessible, while advanced features ("Premium Features") require either a one-time purchase or an active subscription.

All In-App Purchases are concluded with and processed by Apple through the App Store; the prices shown in the App Store at the time of purchase apply, including applicable VAT. We do not receive your payment details.

5.2 "Cali" - Trial Period and Purchase Details

5.2.1 Trial Period

After installation, you can use Cali with its full functionality free of charge for the trial period stated in the App. No payment details are collected by us, and the trial does not convert into a purchase automatically unless you explicitly start a subscription with a free introductory period through Apple (see Section 5.4).

5.2.2 Purchase Required After the Trial

When the trial period ends, the App displays a purchase screen and its features remain locked until you complete an In-App Purchase through Apple. The available purchase options (one-time purchase and/or subscription) and their prices are shown in the App and in the App Store. Your calendar events, tasks, and other content are never deleted or withheld by the App; calendar events remain available in Apple's Calendar app at all times, and content stored in iCloud remains in your iCloud account.

5.2.3 Scope of a Purchase

A one-time purchase grants access to the App's features available at the time of purchase, for as long as the App is offered. A subscription grants access for the duration of the active subscription period.

5.2.4 Purchases Made in Earlier Versions of Cali

Earlier versions of Cali offered a one-time purchase under a voluntary support model. If you made such a purchase, it remains valid: you can continue to use Cali, including the current version and its future updates, without making a new purchase. Use "Restore Purchases" in the App if your earlier purchase is not recognized automatically.

5.3 "WoHiT" - Freemium Model Details

5.3.1 Basic vs. Premium Features

WoHiT offers basic functionality free of charge. Access to advanced features ("Premium Features") requires either a one-time purchase or an active subscription. The specific features included in each tier are described within the App.

5.3.2 Feature Access

Without a valid purchase or active subscription, Premium Features will be locked or inaccessible. Basic features remain available.

5.3.3 Purchase Options

Premium Features can be accessed through either:

  • A one-time purchase granting lifetime access to the Premium Features available at the time of purchase, for as long as the App is offered; or
  • A subscription providing access to Premium Features for the duration of the active subscription period.

5.4 Subscriptions

  • Auto-Renewal: Subscriptions automatically renew for the same period unless auto-renewal is turned off at least 24 hours before the end of the current period. Your Apple ID account is charged for renewal within 24 hours prior to the end of the current period.
  • Management and Cancellation: Subscriptions are managed and cancelled exclusively in your Apple ID account settings (Settings > [Your Name] > Subscriptions). We cannot process cancellations. Cancellation takes effect at the end of the current period; you keep access until then.
  • Introductory Offers: If a subscription is offered with a free introductory period through Apple, it converts into a paid subscription unless cancelled at least 24 hours before the end of that period. Any unused portion of an introductory period is forfeited when you purchase a subscription.
  • Price Changes: We may change subscription prices for future renewal periods. Apple will notify you in advance and, where required by law or Apple's policies, ask for your consent. If you do not agree to a new price, you can cancel the subscription before the next renewal; the new price never applies to a period you have already paid for.
  • Restoring Purchases: One-time purchases and active subscriptions can be restored on your other devices signed into the same Apple ID using the "Restore Purchases" function in the App.

5.5 No Guarantee of Future Development

Your purchase is made in appreciation of the App's current state and feature set. It does not create an obligation for us to deliver specific future features, updates, or a guaranteed lifespan for the App. This does not affect your statutory rights regarding the conformity of the App during a paid subscription period.

5.6 Refunds and Right of Withdrawal

Refund Processing via Apple: All payments for In-App Purchases are processed exclusively by Apple through the App Store. Accordingly, we cannot process refunds ourselves. Any request for a refund, regardless of the reason, must be directed to Apple through your purchase history or via reportaproblem.apple.com. Apple's terms and policies govern refund decisions. Please do not initiate chargebacks with your payment provider without first contacting Apple.

EU/EEA and UK Consumers – Right of Withdrawal: If you are a consumer resident in the EU, the EEA, or the UK, you generally have a statutory 14-day right of withdrawal for purchases of digital content and digital services. Because the purchase is concluded with Apple, this right is exercised towards Apple in accordance with the Apple Media Services Terms and Apple's refund process described above. By starting to use purchased digital content or a subscription immediately after purchase, you may lose the right of withdrawal to the extent permitted by Art. 16(m) of Directive 2011/83/EU and its national implementations; Apple's refund process remains available to you in any case.

Swiss Consumers: Swiss law does not provide for a general statutory right of withdrawal for purchases made online. Apple's refund process described above is nevertheless available to you.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including but not limited to the "Cali", "WoHiT", and "Lottie Tester" applications, their source code, designs, graphics, user interfaces, app icons, screenshots, sounds, music, and all related documentation are the intellectual property of Sven Korset (indie-Software) and are protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code of the software, except to the extent that applicable law expressly permits this. Music and sound files provided in our Apps are licensed for playback within the Apps only.

6.2 License for Press Materials

The press kit materials (including app icons and screenshots) provided on our websites are licensed for use by journalists, bloggers, and reviewers for editorial purposes. This use requires clear attribution to "indie-Software". Any other use, including commercial use, requires prior written permission.

6.3 Third-Party Intellectual Property

All trademarks, service marks, and trade names are the property of their respective owners. This includes, but is not limited to:

  • Apple Inc.: Apple, App Store, iCloud, iPhone, iPad, iOS, macOS, and Siri are trademarks of Apple Inc., registered in the U.S. and other countries.
  • Infomaniak Network AG: Infomaniak is a trademark of Infomaniak Network AG.
  • RevenueCat, Inc.: RevenueCat is a trademark of RevenueCat, Inc.
  • Spotify AB: Spotify and the Spotify logo are trademarks of Spotify AB. The WoHiT website embeds a Spotify player (loaded only on your request); Spotify's own terms apply to its use.
  • Deezer S.A.: Deezer and the Deezer logo are trademarks of Deezer S.A.
  • Apple Music is a trademark of Apple Inc.

Our use of third-party trademarks is for identification purposes only and does not imply any endorsement or affiliation with these parties.

7. Third-Party Licenses & Open-Source

7.1 Acknowledgement

Our Apps utilize open-source software. We are deeply grateful to the developers and communities behind these projects. The use of such software is in compliance with their respective licenses.

7.2 License Texts

8. Governing Law, Jurisdiction and Dispute Resolution

8.1 Governing Law

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of Switzerland, excluding its conflict of law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law does not deprive you of the protection of mandatory consumer protection provisions of the law of your country of residence (this applies in particular to consumers in the EU, the EEA, and the UK, and may apply under the laws of other countries, such as U.S. state consumer protection laws).

8.2 Place of Jurisdiction

For business customers and users who do not qualify as consumers: The exclusive place of jurisdiction shall be Zürich, Switzerland.

For consumers: Mandatory statutory provisions on jurisdiction shall apply. In particular, consumers domiciled in the EU, EEA, or Switzerland may also bring an action at their place of residence, and may only be sued there.

8.3 Dispute Resolution

If you have a complaint, please contact us first by email (Section 3.2); we will try to resolve the matter directly. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

9. Changes to the Terms of Service

We may update these Terms, for example when we add new Apps or features, change an App's access model, or when the law changes. The authoritative, current version is always the one published at https://indie-software.com/en/terms.html; the copy included in our Apps reflects the version at the time the App was built and may lag behind. The "Last Updated" date shows which version you are reading. Material changes will be mentioned in the App Store release notes of the next App update. Changes do not affect a subscription period you have already paid for. Your continued use of the Services after a change has been published constitutes acceptance of the updated Terms; if you do not agree, you must stop using the Services and may cancel any subscription as described in Section 5.4.

10. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court or authority, the remaining provisions of these Terms shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that comes closest to the original economic intent and purpose of the invalid provision.
